1. Acceptance of Terms

By installing, accessing, or using CEO PRO ("the App", "the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. CEO PRO is operated by CEO PRO Inc. ("we", "our", "us").

2. Description of Service

CEO PRO is an AI-powered business management platform that provides:

  • AI business assistant with natural language analytics and reporting
  • Multi-channel advertising management (Google Ads, Meta Ads, etc.)
  • Shopify store analytics powered by ShopifyQL
  • Automated reports and business intelligence
  • Integration with third-party platforms (Google Analytics, Search Console, etc.)

3. Account & Access

Shopify Merchants: When you install CEO PRO from the Shopify App Store, an account is automatically created using your Shopify store credentials. You are responsible for maintaining the security of your Shopify account.

Standalone Users: You may also register directly on ceoclaw.io with an email and password. You are responsible for maintaining the confidentiality of your login credentials.

You must not share your account with unauthorized parties or use the Service for any illegal purpose.

4. Subscription Plans & Billing

CEO PRO offers Free, Pro ($29/month), and Enterprise ($99/month) plans. Paid plans include a 7-day free trial period.

Shopify Merchants: All billing is processed through Shopify Billing API. Charges appear on your Shopify invoice. You can upgrade, downgrade, or cancel at any time from within the app.

Cancellation: You may cancel your subscription at any time by uninstalling the app or downgrading to the Free plan. Uninstalling the app immediately cancels any active paid subscription. No refunds are issued for partial billing periods.

5. AI Service Disclaimer

CEO PRO uses artificial intelligence (Anthropic Claude, Alibaba Qwen) to provide analytics, recommendations, and insights. While we strive for accuracy:

  • AI-generated content may contain errors or inaccuracies.
  • AI recommendations are suggestions, not financial or legal advice.
  • You are solely responsible for decisions made based on AI output.
  • We do not guarantee specific business outcomes from using our AI features.

6. Data & Privacy

Your use of CEO PRO is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

You grant us permission to access your Shopify store data (within the approved API scopes) solely for the purpose of providing the Service. We do not sell your data to third parties.

7. Acceptable Use

You agree not to:

  • Use the Service to violate any law or regulation
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated scripts to interact with the Service beyond normal usage
  • Resell or redistribute the Service without our written consent
  • Use the AI assistant to generate harmful, illegal, or misleading content
  • Deliberately abuse API rate limits or system resources

8. Intellectual Property

All content, features, and functionality of CEO PRO (including code, design, logos, and AI models) are owned by CEO PRO Inc. and protected by intellectual property laws. You retain ownership of your business data.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any losses arising from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEO PRO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service immediately ceases, and we may delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.
